Terms of Service (End User License Agreement)

These Terms of Service (“Terms”) are a legal agreement between you and Bizora Inc. (“Bizora,” “we,” “us,” or “our”) governing your use of our websites, applications, and related services (the “Services”). By accessing or using the Services, you agree to these Terms.

Who may use the Services

You must be able to form a binding contract to use the Services. If you use the Services on behalf of an organization, you represent you have authority to bind that organization to these Terms.

Accounts and security

You are responsible for:

Maintaining the confidentiality of your login credentials
All activity that occurs under your account
Providing accurate account information

You agree not to access the Services in an unauthorized manner, interfere with operations, or attempt to bypass security controls.

License to use the Services

Subject to these Terms, Bizora grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes.

Bizora and its licensors retain all rights, title, and interest in and to the Services, including software, designs, and content, except as expressly granted in these Terms.

Acceptable use

You agree not to:

Use the Services for unlawful, harmful, or fraudulent purposes
Reverse engineer, copy, modify, or create derivative works of the Services (except as permitted by law)
Probe, scan, or test the vulnerability of systems without authorization
Upload malware or attempt to disrupt or overload the Services
Use the Services to infringe intellectual property or privacy rights of others

User content

“User Content” includes information you submit, upload, or connect to the Services (including prompts, documents, and integration data).

You retain ownership of your User Content. You grant Bizora a limited license to host, store, process, transmit, and display User Content solely to:

Provide and improve the Services
Maintain security
Comply with law and enforce these Terms

Third-party services and integrations (including QuickBooks Online)

The Services may interoperate with third-party services you choose to connect (each, a “Third-Party Service”), such as QuickBooks Online.

If you connect QuickBooks Online:

You authorize Bizora to access and process the QuickBooks Online data you permit via OAuth authorization.
Bizora’s access is limited to the permissions/scopes you grant and can be revoked by disconnecting the integration.
Third-Party Services are governed by their own terms and policies, and Bizora is not responsible for Third-Party Services.

QuickBooks and Intuit are trademarks of Intuit and its affiliates. Bizora is a third-party application and is not endorsed by Intuit.

AI-generated outputs; no professional advice

Bizora provides research assistance and informational outputs. Bizora is not a law firm or accounting firm, and the Services do not provide legal, tax, or accounting advice.

You are responsible for:

Reviewing outputs for accuracy and applicability
Exercising professional judgment
Complying with applicable laws and professional standards

Outputs may be incomplete, contain errors, or be unsuitable for your specific facts and circumstances.

Subscriptions, fees, and changes (if applicable)

Some features may require payment. If you purchase a paid plan, you agree to pay applicable fees and taxes.

We may change our fees or plan features from time to time. If changes materially affect your plan, we will provide reasonable notice where required.

Termination

You may stop using the Services at any time. Bizora may suspend or terminate access if:

You violate these Terms
Your use poses a security risk or legal risk
We are required to do so by law

Upon termination, your license to use the Services ends. Certain provisions (e.g., disclaimers, limitation of liability, indemnity) survive termination.

Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, BIZORA DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

BIZORA DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT OUTPUTS WILL BE ACCURATE OR COMPLETE.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BIZORA WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BIZORA’S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID TO BIZORA FOR THE SERVICES IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM (OR $100 IF YOU HAVE NOT PAID ANY AMOUNT).

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

Indemnification

You agree to defend, indemnify, and hold harmless Bizora from and against claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising from:

Your use of the Services
Your User Content
Your violation of these Terms or applicable law

Governing law

These Terms are governed by the laws of the State of California, without regard to conflict of laws principles. Any dispute will be brought in the state or federal courts located in Orange County, California, and you consent to their jurisdiction and venue.

Changes to these Terms

We may update these Terms from time to time. We will update the “Effective date” above and may provide additional notice where required. Continued use of the Services after changes means you accept the updated Terms.
